Position Summary

The Associate General Counsel (“AGC”) takes total ownership, including providing leadership and management, for the provision of legal services and advice to designated client groups and, in certain areas of subject matter expertise, more broadly to the Company and its global subsidiaries.  The Associate General Counsel is expected to proactively identify opportunities within his or her area of responsibility for improved performance, reliability, and efficiency and proactively pursue means to reduce risks and costs to the Company and our customers. While this position may support different Company client groups and take on new or different responsibilities based on evolving Company needs, the AGC will provide legal support to the Company’s Global Rentals and Well Services segment, aligning closely with the president to mitigate legal and compliance risks relevant to that segment. Based on his or her unique expertise, background, and development goals, the AGC will support the Company in risk mitigation efforts that extend beyond the segment.

Key Responsibilities and Tasks

  • Works cooperatively with other members of the Legal & Compliance Department, other functional support areas, and operations to ensure the Company avoids legal risks that can be cost-effectively managed by the Legal & Compliance department, including through the development, implementation, maintenance, and assessment of specified risk management programs and activities managed by the Legal & Compliance department (e.g. Code of Conduct, compliance with securities laws, litigation management, contract review and negotiation, legal entity management).
  • Advises clients on how to recognize significant legal risks and implement mitigation strategies (including providing standard contract provisions, providing guidance on how to make risk-based decisions in contracting, labor and employment, etc.). Audits and assesses mitigation strategies with a focus on continuously improving the Company’s risk management.
  • Creatively identifies opportunities to eliminate distractions and inefficiencies that could interfere with clients achieving safe, efficient, profitable operations.
  • Guides client groups in navigating Legal & Compliance standards, processes, and programs.
  • Promotes culture that leads to innovative, reliable, and efficient operations, including by:
    • Becoming a subject matter expert on the businesses and functions within area of responsibility.
    • Ensuring relevant standards for individual and team performance are documented, communicated, and continuously improved.
    • Providing advice and clarification to personnel on such standards.
  • Promotes a disciplined and systematic approach to risk management, including by:
    • Becoming a subject matter expert on relevant standards contained in the Company’s Integrated Management System (IMS) and applicable regulations, contracts, and other governing documents.
    • Driving improvements to the IMS and standards contained therein and supporting the General Counsel in developing and implementing relevant Legal & Compliance standards to meet the Company’s risk management goals while promoting innovation, reliability, and efficiency.
    • Providing advice and clarification to personnel on such standards.
    • Mentoring and training department personnel and client groups in implementation/utilization of IMS standards and supporting Human Resources and Operations in determining appropriate training requirements for personnel regarding such standards.
    • Routinely assessing and auditing strict adherence to such standards.
    • Fostering a culture of continuous improvement through consistent, timely, and accurate feedback.
  • Tracks and identifies trends in key performance indicators in furtherance of the Company’s legal and compliance goals and priorities.
  • Performs additional duties, responsibilities, and special projects as may be directed.

Job Requirements

Minimum Education Required

  • Juris Doctor, LLM, or other equivalent legal degree required.

Minimum Work Experience

  • 10+ years in-house (preferred) or law firm experience providing legal support to oilfield services clients with good working knowledge of relevant legal and compliance risks and regulatory frameworks such as anti-bribery laws, export controls, commercial negotiations and standard contract provisions, and labor and employment laws.

  • Must be an excellent leader with a record of success in managing teams.
  • Must possess excellent business and analytical skills and be an expert in commercial negotiations.
  • Must be able to develop and retain positive relationships with existing and prospective customers. Preference for candidates with knowledge on drilling equipment, drilling techniques and the variety of services needed to support an operator in the upstream efforts to find and produce natural gas and crude oil.
  • Must possess excellent oral and written communication skills. Must be able to communicate effectively with senior management, employees in functional and operational roles, and customers. Must be very effective at making presentation to clients (both internally and externally).
  • Must be able to travel domestically and internationally.
  • Must be able to handle multiple task effectively and effectively elicit support for various staff functions.
  • Must have broad legal knowledge, skills, and experience, in order to recognize legal and compliance risks, provide legal services and advice to mitigate those risks and, where very specialized legal expertise is required, manage outside counsel in provision of legal services.
  • Must have familiarity and experience in compliance with the U.S. Foreign Corrupt Practices Act (FCPA) and comparable laws in various jurisdictions.
  • Juris Doctor, LLM, or other equivalent legal degree required.
  • Must have current license to practice law and be a member in good standing of a recognized legal profession in a U.S. or foreign jurisdiction, the members of which are admitted to practice as lawyers or counselors at law or the equivalent, and are subject to effective regulation and discipline by a duly constituted professional body or a public authority.
  • Must be able to effectively select and manage outside counsel where required
  • 10+ years in-house (preferred) or law firm experience providing legal support to oilfield services clients with good working knowledge of relevant legal and compliance risks and regulatory frameworks such as anti-bribery laws, export controls, commercial negotiations and standard contract provisions, and labor and employment laws.
  • Must be fluent in Spanish and English. Experience living, working, and/or handling legal transactions in one or more Latin American countries strongly preferred.

The physical demands must be met by an employee to successfully perform essential functions of this job. Visual acuity requirements including color, depth perception, and field vision include close visual acuity to perform activities such as preparing and analyzing data and figures; transcribing; viewing a computer terminal; and extensive reading and editing. The worker is not substantially exposed to adverse environmental conditions.

 

Work Environment

This position will typically work in a climate controlled building in the corporate office of Parker Drilling.
